Terms of Service

1. Acceptance and Eligibility
By creating a Truvyx account, accessing the platform via the web application, or using the Truvyx API, you agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use Truvyx.
If you are using Truvyx on behalf of an organisation, you represent and warrant that: (a) you are authorised to bind that organisation to these Terms; (b) these Terms apply to that organisation; and (c) “you” refers to both you individually and that organisation. Organisations are liable for the acts and omissions of their members on the platform.
You must be at least 16 years old to use Truvyx. By using the service you confirm that you meet this requirement. If we learn that a user is under 16, we will delete their account.
2. Description of Service
Truvyx is a multi-agent AI evaluation and diagnostic intelligence platform. The service includes, without limitation: scenario authoring and management, constraint definition and verification, automated evaluation runs, root-cause analysis (RCA), audit record creation and cryptographic signing, an agent-system registry, monitoring and alerting, the OperationsBench leaderboard, export utilities, and a public REST/SDK API.
Features marked Beta are provided for testing purposes only. Beta features may be unstable, may change without notice, and carry no service level commitments. Continued availability of Beta features is not guaranteed.
We reserve the right to modify, suspend, or discontinue any part of the service at any time. Where reasonably practicable, we will give you at least 30 days' notice of discontinuation of a materially important feature.
3. Account Registration and Security
You must provide accurate, current, and complete information when registering and keep it up to date. Using false identity information or creating an account on behalf of another person without authorisation is prohibited.
You are solely responsible for: (a) maintaining the confidentiality of your login credentials and any API keys issued to you; (b) all activity that occurs under your account, whether or not you authorised it; and (c) promptly notifying us at support@truvyx.com if you believe your account has been compromised.
Account sharing — providing your credentials to a third party for the purpose of circumventing per-seat pricing — is not permitted. Each human user must have their own account.
We may require you to re-authenticate or enable additional security measures if we detect suspicious activity. We are not liable for loss or damage arising from your failure to keep your credentials secure.
4. Free and Paid Plans
Truvyx offers a Free tier and paid plans (collectively “Plans”). Each Plan is subject to usage quotas including, but not limited to, evaluation run limits, scenario count limits, API request rates, data retention periods, and seat counts. Current quotas are published on the pricing page and may be updated with 30 days' notice.
Exceeding a quota will result in throttling, queuing, or temporary suspension of the affected feature until the next billing cycle or until you upgrade. We will make reasonable efforts to notify you before hard limits are reached. We are not liable for any loss arising from throttling or feature suspension due to quota exhaustion.
Downgrading your plan may result in reduced access to features and data. If you downgrade to a tier with a lower data retention limit, data beyond the new limit may be permanently deleted after a 14-day grace period. You are responsible for exporting any data you wish to retain before downgrading.
5. API Access and Keys
Paid Plans include programmatic API access. API keys are issued on a per-organisation basis and grant access equivalent to the permissions of the organisation on Truvyx. You must treat API keys as confidential credentials.
You must not: (a) embed API keys in publicly accessible client-side code or public repositories; (b) share API keys with third parties except where required for legitimate integrations you have authorised; or (c) use one organisation's API key to access another organisation's data.
If an API key is compromised, you must rotate it immediately via your account settings and notify us at security@truvyx.com if you believe unauthorised access occurred. We may revoke API keys without notice if we detect abuse.
API usage is subject to rate limits. Automated clients that systematically exceed rate limits or that attempt to circumvent them through distributing requests across multiple accounts are prohibited. Violations may result in immediate suspension.
6. Acceptable Use
Your use of the service is also governed by our Acceptable Use Policy, which is incorporated into these Terms by reference. In addition to the AUP, the following specific scenarios are prohibited:
- Using evaluation scenarios to intentionally generate, harvest, or store personally identifiable information about individuals without their consent.
- Submitting agent outputs or evaluation results to third-party services in a way that violates those services' terms of service.
- Using Truvyx to benchmark or compare AI systems in a deliberately misleading way for the purpose of publishing false performance claims.
- Reverse-engineering, decompiling, or disassembling the Truvyx platform or any part of it, except to the extent permitted by applicable law.
- Using web scraping, automated bots, or similar tools to extract content from the platform beyond what the API permits.
- Uploading scenarios or evaluation data that infringes third-party intellectual property rights, including copyrighted benchmark datasets you are not licensed to use.
- Using Truvyx to build a directly competing product or service and reproducing the platform's design, features, or proprietary methodologies without authorisation.
7. Intellectual Property and Data Ownership
Truvyx IP. Truvyx and its licensors own all right, title, and interest in and to the platform, including the software, design, trademarks, documentation, evaluation methodologies, OperationsBench scoring algorithms, and any derivative works thereof. Nothing in these Terms transfers ownership of any Truvyx IP to you.
Your Content. You retain all ownership rights in and to the data and content you upload or create on Truvyx, including scenarios, constraints, evaluation configurations, agent descriptions, and audit records (“Your Content”). You grant Truvyx a non-exclusive, worldwide, royalty-free licence to process, store, and transmit Your Content solely to provide the service to you.
No training use. We will not use Your Content — including your evaluation scenarios, agent outputs, constraint definitions, or RCA results — to train, fine-tune, or improve any AI or machine learning model, whether operated by Truvyx or any third party.
Aggregated analytics. We may use anonymised, aggregated, non-identifiable statistics derived from platform usage (such as feature adoption rates or aggregate run volume) for internal product development and public reporting. This data cannot be reverse-engineered to identify you or your organisation.
Feedback. If you provide suggestions, ideas, or feedback about the service, you grant Truvyx an irrevocable, perpetual, royalty-free licence to use them for any purpose without obligation to you.
8. Evaluation Outputs and AI Disclaimers
Truvyx provides tooling to evaluate, test, and benchmark AI agent systems. Evaluation results, constraint verdicts, root-cause analyses, and all other outputs generated by the platform (“Outputs”) are provided for informational and diagnostic purposes only.
Outputs do not constitute professional advice — legal, medical, financial, regulatory, or otherwise. You must not use Outputs as the sole basis for decisions that could affect human health, safety, financial interests, or legal rights without independent expert review.
Accuracy of Outputs depends on the quality and completeness of the scenarios, constraints, and agent configurations you provide. Truvyx does not warrant that any Output is complete, correct, free of error, or suitable for any particular purpose. You are responsible for validating Outputs against your own requirements and for any decisions or actions you take based on them.
AI-assisted features within Truvyx (such as NL-to-spec generation, inline verifiers, and RCA suggestions) use large language models provided by third-party inference providers. These models may produce incorrect, incomplete, or outdated information. Always review AI-generated content critically.
9. Third-Party Integrations
Truvyx integrates with third-party services including AI inference providers, database hosts, email providers, and OAuth identity providers. Your use of Truvyx does not grant us authority to enter into binding agreements with these providers on your behalf.
When you use OAuth sign-in (Google, GitHub), you are also subject to those providers' terms of service and privacy policies. We are not responsible for the practices of those providers.
If you connect Truvyx to external systems via webhooks, API integrations, or the registry, you are responsible for ensuring that such connections comply with the terms and policies of both Truvyx and the external system.
10. Member Invitations and Organisational Accounts
The account owner (assigned the OWNER role at onboarding) may invite additional users to the organisation. Invitees are issued role-based permissions (OWNER, ADMIN, or MEMBER) that control their access to resources within the organisation.
The OWNER is responsible for: (a) ensuring all invited members agree to these Terms before using the platform; (b) managing member permissions appropriately; and (c) revoking access promptly when a member leaves the organisation or no longer requires access.
Removing a member from an organisation does not delete the data or content that member created. Ownership of that content transfers to the organisation. The removed member will lose access to the platform features but may request export of their personal data under applicable data protection law.
11. Fees, Billing, and Cancellation
Paid plans are billed in advance on a monthly or annual basis, as selected at the time of purchase. All prices are exclusive of VAT and other applicable taxes, which will be added where legally required.
All fees are non-refundable except: (a) where required by applicable consumer protection law; or (b) where Truvyx is at fault for a material service failure that we have failed to remedy within a reasonable time of notification.
We reserve the right to change pricing. For paid subscribers, price changes will take effect at the next renewal period, with at least 30 days' notice. If you do not agree to a price change, you may cancel before the new price takes effect.
You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. You will retain access to paid features until the end of the period you have paid for. Cancellation does not entitle you to a refund for the current period.
We may suspend access for overdue invoices after a 7-day grace period and terminate the account after a further 30 days of non-payment.
12. Data Portability and Export
You may export your data at any time using the platform's built-in export tools. Available export formats are documented in the platform and may include JSON, CSV, and PDF depending on the data type.
Cryptographically signed audit records can be exported and independently verified by any party with access to the public verification key. Truvyx does not guarantee the continued availability of the verification infrastructure beyond your subscription period; you should retain exported records and verification instructions if you require long-term auditability.
We will provide a full data export upon request within 30 days of account cancellation. After the 30-day post-cancellation period, data is permanently deleted and cannot be recovered.
13. Suspension and Termination
We may suspend or terminate your account at any time and without prior notice if: (a) you breach these Terms or the AUP; (b) your account is used for fraudulent, abusive, or illegal activity; (c) continued operation of your account poses a security risk to the platform or other users; or (d) you fail to pay fees when due.
Where practicable and where doing so does not compromise security or legal obligations, we will give you notice and an opportunity to remedy a breach before suspending or terminating your account.
Upon termination for any reason: (a) your right to use the service ceases immediately; (b) your data is retained for 30 days to allow you to request an export, after which it is permanently deleted; (c) clauses that by their nature should survive termination will continue to apply (including, without limitation, Sections 7, 8, 14, 15, and 16).
You may terminate your account at any time by deleting it through your account settings or by contacting support@truvyx.com.
14. Disclaimers and Limitation of Liability
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED OR ERROR-FREE OPERATION.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW: (A) TRUVYX'S TOTAL CUMULATIVE LIABILITY TO YOU ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (i) THE FEES PAID BY YOU TO TRUVYX IN THE 12 MONTHS PRECEDING THE CLAIM, OR (ii) £100; AND (B) TRUVYX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR COST OF SUBSTITUTE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited by law, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded under applicable law.
15. Indemnification
You agree to indemnify, defend, and hold harmless Truvyx and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your use of or access to the service; (b) your breach of these Terms; (c) Your Content infringing any third-party intellectual property right; or (d) your violation of applicable law.
16. Dispute Resolution and Governing Law
These Terms are governed by and construed in accordance with the laws of England and Wales. Subject to the paragraph below, you and Truvyx submit to the exclusive jurisdiction of the courts of England and Wales.
Before commencing any legal action, you agree to attempt to resolve disputes informally by contacting legal@truvyx.com. We will attempt to resolve the dispute within 30 days. If we cannot resolve it informally within that period, either party may pursue formal legal proceedings.
If you are a consumer in the EU or EEA, mandatory consumer protection laws of your country of residence may apply in addition to, or instead of, English law, and you may have additional rights that these Terms cannot override.
17. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes by email to your registered address and by prominent notice within the platform at least 14 days before the changes take effect. The “Last updated” date at the top of this page reflects the date of the most recent revision.
Your continued use of the service after the effective date of revised Terms constitutes your acceptance of those changes. If you do not agree to the revised Terms, you must stop using the service before the effective date.
18. General
Entire agreement. These Terms, together with the Privacy Policy, Acceptable Use Policy, and any order form or plan agreement, constitute the entire agreement between you and Truvyx regarding the service and supersede all prior or contemporaneous agreements.
Severability. If any provision of these Terms is found to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force.
Waiver. Failure to enforce any right or provision of these Terms shall not constitute a waiver of future enforcement of that right or provision.
Assignment. You may not assign these Terms or any rights or obligations hereunder without our prior written consent. Truvyx may assign these Terms, in whole or in part, without restriction.
Force majeure. Neither party will be liable for failure or delay in performance caused by circumstances beyond their reasonable control, including natural disasters, acts of government, internet outages, or acts of third-party providers.
